 Consists of (i) 61,553 shares of common stock and (ii) 774,444 shares of common stock underlying options that are exercisable within 60 days of the date hereof.
Item 1. Security and Issuer.
This statement relates to the common stock, $0.01 par value per share (the Common Stock), of ITUS Corporation (the Company). The principal executive office of the Company is located at 12100 Wilshire Boulevard, Suite 1275, Los Angeles, CA 90025.
All information contained in this Schedule 13D/A is, after reasonable inquiry and to the best of the Reporting Persons knowledge and belief, true, complete and correct as of the date of this Schedule 13D/A.
Item 2. Identity and Background.
This statement is being filed by Robert A. Berman (the Reporting Person).
The principal business address of the Reporting Person is 12100 Wilshire Boulevard, Suite 1275, Los Angeles, CA 90025.
The Reporting Person is the President, Chief Executive Officer and director of the Company.
The Reporting Person has not, during the last five years, been convicted in a criminal proceeding (excluding traffic violations or similar misdemeanors).
The Reporting Person has not, during the last five years, been party to a civil proceeding of a judicial or administrative body of competent jurisdiction and as a result of such proceeding was or is subject to a judgment, decree or final order enjoining future violations of, or prohibiting or mandating activities subject to, federal or state securities laws or finding any violation with respect to such laws.
The Reporting Person is a citizen of the United States of America.
Item 3. Source and Amount of Funds or Other Consideration.
On June 2, 2017, the Reporting Person purchased, in an open market transaction with personal funds, 10,000 shares of Common Stock. The purchase of these shares, aggregated with the Reporting Persons purchase of additional shares of Common Stock (described below) and the vesting of certain previously granted options (which were granted for no consideration) caused the Reporting Persons beneficial ownership to materially increase from the Reporting Persons ownership as of the date of filing of the previous Schedule 13D/A. During the period from July 21, 2015 through April 3, 2017, the Reporting Person purchased 10,995 shares of Common Stock in open market transactions using personal funds.
Item 4. Purpose of Transaction.
The Reporting Person does not currently have any plans or proposals that relate to or would result in (a) the acquisition by any person of additional securities of the Company or the disposition of securities of the Company; (b) an extraordinary corporate transaction, such as a merger, reorganization or liquidation, involving the Company or any of its subsidiaries; (c) a sale or transfer of a material amount of assets of the Company or any of its subsidiaries; (d) any change in the present board of directors or management of the Company, including any plans or proposals to change the number or term of directors or to fill any existing vacancies on the board; (e) any material change in the present capitalization or dividend policy of the Company; (f) any other material change in the Company's business or corporate structure; (g) changes in the Companys certificate of incorporation, bylaws or instruments corresponding thereto or other actions which may impede the acquisition of control of the Company by any person; (h) causing a class of securities of the Company to be delisted from a national securities exchange or to cease to be authorized to be quoted in an inter-dealer quotation system of a registered national securities association; (i) a class of equity securities of the Company becoming eligible for termination of registration pursuant to Section 12(g)(4) of the Exchange Act; or (j) any action similar to any of those enumerated above.
Item 5. Interest in Securities of the Issuer.
As of June 15, 2017, the Reporting Person beneficially owns 835,997 shares of Common Stock consisting of (i) 61,553 shares of Common Stock and (ii) 774,444 shares of Common Stock underlying options that are exercisable within 60 days of the date hereof. These shares, in the aggregate, represent 5.26% of the shares of the Company.
The number of shares of Common Stock over which the Reporting Person has the power to vote and the power to dispose is as follows:

Except as described in Item 3 of this Statement, there have been no transactions effected with respect to the Securities within the past 60 days of the date hereof by the Reporting Person.
No person(s) other than the Reporting Person is known to have the right to receive or the power to direct the receipt of dividends from, or proceeds from the sale of, the shares of Common Stock beneficially owned by the Reporting Person.
